Settlement of derivative agreements and terms and conditions of the new derivative agreements
MOL Plc. (“MOL”) hereby notifies the capital market participants of the following, in relation to the announcement dated 26 June 2026:
Under the share option agreement executed between MOL and UniCredit Bank GmbH (“UniCredit”) on 27 June 2025 1,374,019 pieces of MOL Series “A” ordinary shares (“Shares”) will be physically settled and 29,625,981 pieces of Shares will be cash settled on 7 July 2026. As a result, MOL acquires 1,374,019 Shares.
Under the share option agreement entered into by MOL and UniCredit on 26 June 2026 MOL receives American call options and UniCredit receives European put options in relation to 29,625,981 pieces of Shares with the effective date of 7 July 2026. The maturity date of both the call and put options is 2 July 2027, and the strike price of both options is EUR 10.80133 per Share.
Under the share option agreement executed between MOL and ING Bank N.V. (“ING”) on 27 June 2025, 287,422 pieces of MOL Series “A” ordinary shares (“Shares”) will be physically settled and 30,712,578 pieces of Shares will be cash settled on 7 July 2026. As a result, MOL acquires 287,422 Shares.
Under the share option agreement entered into by MOL and ING on 26 June 2026 MOL receives American call options and ING receives European put options in relation to 30,712,578 pieces of Shares with the effective date of 7 July 2026. The maturity date of both the call and put options is 2 July 2027, and the strike price of both options is EUR 11.1586 per Share.
Under the total return swap agreement executed between MOL and Commerzbank AG (Commerzbank) on 27 June 2025, 6,676,013 pieces of Shares will be cash settled on 7 July 2026.
The total return swap agreement concluded between MOL and Commerzbank on 26 June 2026 concerns 6,676,013 pieces of Shares. The agreement’s settlement date is 7 July 2027.
As a result of the three transactions above, the number of treasury shares changes as follows: the number of ‘A’ Series MOL shares owned directly and indirectly by MOL increases from 15,436,403 to 17,097,844, while the number of ‘C’ Series MOL Ordinary shares remains unchanged at 578.
