Settlement of option agreements with ING Bank N.V. and UniCredit Bank GmbH

MOL Plc. (“MOL”) hereby notifies the capital market participants of the following:

Under the share option agreement executed between ING and MOL on 20 June 2023, MOL today acquired 30,927,069 pieces of MOL Series “A” ordinary shares, which will be physically settled on 26 June 2024.

Under the share option agreement executed between UniCredit and MOL on 20 June 2023, MOL today acquired 30,742,366 pieces of MOL Series “A” ordinary shares, which will be physically settled on 26 June 2024.

As a result of the transactions, the number of treasury shares increases by 61,669,435 and MOL now owns 89,206,171 “A” Series and 578 “C” Series MOL Ordinary shares.

MOL intends and expects to renew the agreements in a similar structure as soon as conditions allow.
